1. Scope of Operations & Delivery
ORCOS Promedia provides high-end digital solutions including Campaign Strategy, Influencer Marketing, PR, and Brand Promotion. All deliverables are strictly bound by the pre-approved project scope. Any feature request, modification, or extra campaign outside the initial scope will be billed separately. For Social Media Marketing plans (Premium, Growth, Starter), the 2nd year transitions to a monthly renewal basis.
2. Influencer, PR & Third-Party Engagement
Internal Vendor Confidentiality: The Agency retains the exclusive right to negotiate, contract, and disburse payments to third-party influencers and PR networks internally. The exact payout structures, margins, and internal agreements between the Agency and these third parties are strictly confidential, proprietary business information, and shall not be disclosed to the Client.
3. Absolute Intellectual Property Rights & Data Protection
- All campaign strategies, proprietary media planning, customized growth blueprints, creative designs, and funnel architectures developed by ORCOS Promedia remain our exclusive intellectual property.
- Ownership Transfer: Full copyright and ownership (where applicable) are transferred to the CLIENT only after 100% full and final payment has been cleared.
- Data Theft, Copyright Infringement & Financial Penalty: Any unauthorized copying, scraping, cloning, or usage of ORCOS Promedia’s website content, data, proprietary strategies, campaign structures, or digital assets without explicit written permission is strictly prohibited. Attempting to execute our exact proprietary strategies with a competing agency also constitutes a material breach.
- Legal Action & Liability: In the event of data theft or unauthorized usage, ORCOS Promedia will initiate immediate legal action. The offending party will be legally bound to pay full financial compensation for business losses, damages, and all associated legal/attorney fees incurred by ORCOS Promedia.
4. Prohibited Content & Acceptable Use Policy (AUP)
ORCOS Promedia maintains a zero-tolerance policy for illegal activities. We do not provide marketing, PR, or digital growth services to entities promoting pornographic material, unlicensed gambling, malicious software, or any content that violates Indian laws or international cyber regulations. Violation of this clause will result in immediate termination of all services without any refund.
5. Limitation of Liability
While we provide highly secure and robust growth strategies, under no circumstances shall ORCOS Promedia, its directors, or employees be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to loss of profits, data loss due to third-party ad platform vulnerabilities, or business revenue loss resulting from campaign downtime or account bans.
6. Refund & Cancellation Policy
At ORCOS Promedia, we deploy extensive strategic resources, premium creative bandwidth, and expert human capital from the moment a project or service is initiated. Therefore, once a payment or advance deposit is made for Campaign Strategy, Social Media Marketing, PR, or Branding, it is strictly non-refundable.
If a project is canceled, delayed, or abandoned by the CLIENT, all paid amounts will be retained by ORCOS Promedia.
If the completed work exceeds the paid deposit at the time of cancellation, an additional invoice will be generated and legally enforced. No exceptions will be entertained.
All retainers, service fees, and package costs paid to ORCOS Promedia cover ONLY our strategic, creative, and management services.
Any and all Advertising Spend (e.g., Meta Ads, Google Ads) shall be borne entirely by the Client and paid directly to the respective advertising platforms. Agency fees do NOT include ad budgets.
Initiating a chargeback or payment dispute with your bank or credit card company for a valid ORCOS Promedia charge is considered a direct breach of contract and fraudulent activity.
In the event of a chargeback, all associated CLIENT campaigns and services will be immediately suspended or permanently terminated without prior notice.
ORCOS Promedia reserves the right to challenge all disputes with comprehensive project evidence and pursue immediate legal action to recover lost funds, including administrative and legal attorney fees.
